Вased on a resolution of the Board of Directors of BILLBOARD AD, dated 29.01.2018 was accomplished a sale of 500 stakes from the capital of Instor Media EOOD, representing 100 % of its capital at the price of BGN 116 per stake or BGN 58 000 in total.

Based on a resolution of the Board of Directors of BILLBOARD AD, dated 28.09.2017 was assigned an independent market valuation of the of equity stakes of the company Instor Media EOOD – 100 % subsidiary company of BILLBOARD AD by an independent evaluator under art. 5 of the Independent Evaluators Act. The valuation was made by BRIGHT CONSULT Ltd., UIC: 831186265, expressing the valuation opinion of Doctor Eng. Valentin Parvanov and Atanas Minchev. Pursuant to the valuation the final market value of Instor Media EOOD is BGN 54 000 or the market value per one company’s equity stake is BGN 109.

The sale of the stakes from the capital of Instor Media EOOD was completed under the following parameters:

Buyer under the transaction: Plamena Valerieva Tzolova, having address in Sofia. The buyer is neither an interested, nor a related party to BILLBOARD AD within the meaning of the Law on Public Offering of Securities.

Price under which the sale was accomplished: BGN 116 per stake from the capital of Instor Media EOOD or a total sale price for BILLBOARD AD – BGN 58 000.

The value of the transaction does not exceed the thresholds under art. 114, para. 1 of the Law on Public Offering of Securities and respectively an explicit authorization by the General Assembly of the Shareholders of BILLBOARD AD is not required.

The sale of equity stakes of Instor Media EOOD on the part of BILLBOARD AD is concluded due to the fact that the source of the main revenues from the activity of Instore Media EOOD was a 10-year contract, which as of the date of the resolution of the Board of Directors of BILLBOARD AD has expired and Instor Media EOOD may not enter into a new contract of this type. The smaller contracts are not sufficient to ensure the development of the company and require increasing efforts for its management and the generation of a positive financial result.
