On 04.02.2011 at the Commercial Register to the Registry Agency was filed the reorganization of DEDRAX - a subsidiary of BILLBOARD Plc. The reorganization was accomplished on the grounds of art. 261 of the Commercial Act by means of changing the legal form of the company from a limited liability company into a joint stock company upon preserving the head office and business address, scope of activity, company's capital amount and the proportion in distribution of capital between the same partners - shareholders. The Company has ordinary, dematerialized, redeemed, voting shares with par value of BGN 1.00 each. BILLBOARD Plc holds directly 1 680 000 ordinary, dematerialized, redeemed, voting shares of the capital of DEDRAX AD with par value of BGN 1.00 each, representing 60 % of the votes at the general assembly of shareholders.

DEDRAX AD was filed with the Commercial Register to the Registry Agency under UIC: 201412044. The company has one-tier system of management - Board of Directors. The main purpose of the restructuring was to be created a corporate structure that responds to the maximum extent the investment intentions of the partners, to be achieved an optimization of the company’s management and ensured its prospective development.
