With reference to a resolution, adopted by the Board of Directors of BILLBOARD Plc on Dec. 3rd 2008 for incorporation of a new joint limited liability company together with the company ADVERCITY, registered in the town of Nish, which is a long term partner and representative of BILLBOARD Plc in the Republic of Serbia, BILLBOARD Plc would like to inform all shareholders, potential investors and stakeholders on the following:
In the Commercial register of the Republic of Serbia was filed a joint limited liability company with the following mail parameters:
  1. Company's name: business company MEGA PRINT DOO;
  2. Registered Seat: town of Nish, Republic of Serbia;
  3. Capital: EUR 500 (five hundred);
  4. Participation in the capital of the newly established company:BILLBOARD Plc - ? 255, representing 51 % of the registered capital; ADVERCITY, Nish - ? 245, representing 49 % of the registered capital;
  5. Subject of activity: in accordance with code 74402 from the Serbian classifier of the activities - OTHER ADVERTISING SERVICES, as the company shall also perform foreign trading activities and foreign trading services, as it may also perform other activities, as far as it meets all conditions established by law, except for activities which performance requests an obligatory licence to be granted by a competent authority.
  6. Manager - Sasha Yotov, representative of the company ADVERCITY, Nish;
  7. Term - the company is constituted for a unlimited period of time.

The purpose for the company's incorporation was to expand the activities of BILLBOARD Plc in the field of wide format digital printing also on the territory of the Republic of Serbia.
With this reference and with a view to provide the possibility for the newly incorporated company to actively perform its activities on Feb. 3rd 2009 the Board of Directors of BILLBOARD Plc adopted a resolution to sell 10 machines, owned by BILLBOARD Plc - Digital printer VUTEK ULTRA VU 5330 EC, Textile printing machine MIMAKI, laminating machine BU 2000 WL, Printer VUTEK 200/600 PressVu, air-compressor GА 18 FF -13 СЕ40, steam machine STEAM - X 1850, 2 machines for hand fixing of caps and a sewing machine to the total amount of EUR 343 890.
The deal shall be performed within the framework of BILLBOARD's subject of activity and according to the company's usual commercial practice. No interested parties within the meaning of the Public Offering of Securities Act shall participate in the deal and its amount does not exceed the limits, specified under Art. 114, para. 1 of the Public Offering of Securities Act.
